Capitalmind Investec actively supported Spigraph Group during all the financing process: search for potential investors, preparation of marketing documentation, modeling of the Business Plan hand-in-hand with the management, organization of management presentations and site visits, negotiations with institutional and private investors, daily execution support, communication with current shareholders and negotiation of legal documentation together with the company’s lawyers. Capitalmind Investec played a key role in negotiating a suitable deal for both the shareholders and the investors within a short timeframe.

This deal is the seventh advised by Capitalmind Investec on behalf of Spigraph Group since 2003.

About the deal

Spigraph Group is the undisputed leading Value Added Distributor (VAD) for document capture solutions in the EMEA area. Generating over €120m revenues following the acquisition of Dicom in January 2014, Spigraph Group solutions include hardware (mainly scanners), software for document capture and related services (maintenance, software integration, training, etc.).

For more than 40 years, Tessi, France’s leading provider of document automation solutions, has helped companies manage their critical processes, including document-based processes, payment systems, gold and currency transactions and promotional marketing.

With over 15 years of experience in Private Equity, Isatis Capital is a French PE firm formerly known as BNP Paribas Private Equity. The firm completes transactions of Growth Capital, LBO, MBO, Venture Capital, etc. and currently manages a portfolio of 30 companies (mostly minority stakes).

Tessi and Isatis Capital investments will help Spigraph Group finance the consolidation and integration of Dicom Group acquired in 2014, as well as its significant growth plan.
